These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AmyRamya Private Limited ("AmyRamya," "Company," "we," "us," or "our") regarding your use of the Quote Baba platform and services (the "Service").

By accessing, registering for, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

2.1 Quote Baba Platform

Quote Baba is a web-based Software-as-a-Service (SaaS) platform that enables users to create, customize, manage, and share professional quotes and proposals. Our Service includes:

• Web-based quote builder with customizable templates
• PDF generation and export functionality
• Cloud storage for quotes and templates
• Sharing capabilities via secure public links
• Payment processing integration
• User dashboard and management tools

2.2 Service Plans

• Free Plan: Basic quote creation with watermarked PDF exports
• Pro Plan (₹299/month or ₹2,999/year): Full features including watermark removal, cloud storage, sharing, and premium templates

3.1 Age and Capacity

You must be at least 18 years old or the age of majority in your jurisdiction to use our Service. By using our Service, you represent that you have the legal capacity to enter into these Terms.

3.2 Account Registration

To access certain features, you must create an account by providing:

• Accurate and complete registration information
• A valid email address
• A secure password
• Your business information (for professional use)

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Logging out from shared or public computers

4.1 Permitted Uses

You may use our Service to:

• Create professional quotes and proposals for legitimate business purposes
• Store and manage your business documents securely
• Share quotes with clients and prospects
• Generate PDF documents for your business needs

4.2 Prohibited Uses

You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Create quotes for illegal goods, services, or activities
• Impersonate any person or entity or misrepresent your affiliation
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or attempt to extract source code
• Use automated tools to scrape or harvest data from our Service
• Interfere with or disrupt the Service or servers
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others

5.1 Pro Plan Subscription

• Monthly Plan: ₹299 per month, billed monthly
• Annual Plan: ₹2,999 per year, billed annually (equivalent to ₹249.92/month)
• All prices are in Indian Rupees (INR) and include applicable taxes
• Pricing is subject to change with 30 days advance notice

5.2 Payment Processing

• Payments are processed securely through Stripe
• We accept major credit cards, debit cards, and digital wallets
• Payment information is encrypted and not stored on our servers
• You authorize us to charge your payment method for subscription fees

5.3 Billing and Renewals

• Subscriptions automatically renew unless cancelled
• You will be charged at the beginning of each billing cycle
• Failed payments may result in service suspension
• We will notify you of billing issues via email

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No partial refunds for unused portion of subscription periods
• Refunds may be provided at our sole discretion for service issues
• Free trial users may cancel without charge during the trial period

6.1 Our Intellectual Property

Quote Baba, including its software, features, functionality, templates, designs, graphics, interfaces, and underlying technology, is owned by AmyRamya and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 Your Content

• You retain ownership of all content you create using our Service
• Your quotes, business information, and uploaded files belong to you
• You grant us a limited license to process and store your content to provide the Service
• We will not claim ownership of your business data or quotes

6.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms for the duration of your subscription.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Service Availability

• We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• Force majeure events may affect service availability

8.2 Service Modifications

• We may modify, update, or discontinue features with reasonable notice
• Major changes affecting functionality will be communicated via email
• We reserve the right to enhance security and performance without notice

9.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMYRAMYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₹10,000, WHICHEVER IS LESS.

You agree to indemnify, defend, and hold harmless AmyRamya, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of any third-party rights
• Any content you submit or share through the Service

11.1 Termination by You

• You may terminate your account at any time
• Termination takes effect immediately upon account deletion
• You remain liable for all charges incurred before termination

11.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our policies
• Fail to pay subscription fees
• Engage in fraudulent or illegal activities
• Abuse or misuse the Service

11.3 Effect of Termination

• Your right to use the Service immediately ceases
• We may delete your account and data after a reasonable grace period
• You may request data export before termination
• Provisions regarding liability, indemnification, and dispute resolution survive termination

12.1 Governing Law

These Terms are governed by the laws of India.

12.2 Dispute Resolution Process

1. Direct Negotiation: Contact us first to resolve disputes informally
2. Mediation: If informal resolution fails, we encourage mediation
3. Arbitration: Binding arbitration under Indian Arbitration and Conciliation Act, 2015
4. Court Proceedings: As a last resort, subject to Indian jurisdiction

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement.

13.2 Severability

If any provision is found invalid, the remaining provisions will remain in full force and effect.

13.3 Force Majeure

We shall not be liable for delays beyond our reasonable control.

13.4 Assignment

You may not assign these Terms without our written consent.

13.5 Updates to Terms

We may update these Terms. Material changes will be communicated via email. Continued use after changes constitutes acceptance.
